Please read these Terms and Conditions (“Terms,” “T&Cs”) carefully before using the Shovniq website www.shovniq.com and its related services (collectively, the “Services”), operated by Sudhakalash OPC Private Limited (“Shovniq,” “we,” “us,” or “our”).

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, and sellers (“Users”) who access or use the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Services.

1. Definitions

Platform: Refers to the Shovniq website www.shovniq.com and any associated mobile applications or digital properties operated by Shovniq.
User/You: Refers to any individual or entity accessing or using the Services, including Customers and Sellers.
Customer: Refers to any User who browses, purchases, or intends to purchase products from Sellers on the Platform.
Seller: Refers to any individual or entity operating a home-based business, or any other small-scale enterprise, who registers on the Platform to list and sell products to Customers.
Products: Refers to the goods and services listed for sale by Sellers on the Platform.
Services: Refers to all functionalities, content, and features provided by Shovniq through the Platform, including facilitating transactions between Customers and Sellers.
Content: Refers to any text, images, graphics, audio, video, or other materials uploaded, displayed, or transmitted on the Platform by Shovniq or Users.

2. Eligibility and Account Registration

2.1 Eligibility: You must be at least 18 years of age and capable of forming a binding contract under applicable Indian law to use the Services. If you are registering as a Seller, you must be a legitimate individual/entity operating a home-based business, and you agree to provide accurate and truthful information about yourself and your business.

2.2 Account Creation: To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your password. Shovniq cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

3. Terms Applicable to Customers

3.1 Product Information & Orders: Shovniq acts as a facilitator connecting Customers with Sellers. Product descriptions, images, pricing, and availability are provided by Sellers. While Shovniq strives for accuracy, we do not guarantee the completeness, accuracy, or reliability of any product information. By placing an order, you agree to purchase the Product(s) at the price and on the terms specified by the Seller. All purchases are subject to availability. Order confirmation does not signify acceptance of your order by the Seller; it constitutes an acknowledgment that the order has been received. The Seller reserves the right to accept or decline your order for any reason.

3.2 Pricing and Payments: Prices for Products are listed in Indian Rupees (INR) and are determined by the Sellers. All payments are processed through secure third-party payment gateways. Shovniq does not store your sensitive payment information. You agree to abide by the terms and conditions of the respective payment gateway. In case of any payment issues, you agree to resolve them directly with the payment gateway or your bank.

3.3 Shipping and Delivery: Shipping and delivery of Products are the sole responsibility of the respective Seller. Shovniq acts as a facilitator and provides tools to assist Sellers in managing logistics. Delivery times provided are estimates and may vary. Shovniq is not liable for any delays or failures in delivery caused by the Seller, shipping carrier, or unforeseen circumstances.

3.4 Returns, Refunds, and Cancellations: Returns, refunds, and cancellations are subject to the individual Seller’s return policy as displayed on their product page or store, in addition to Shovniq’s overarching policies (if any). You must communicate directly with the Seller for any return or refund requests. Shovniq may intervene to facilitate resolution in accordance with our dispute resolution policy (if any). Please review the Seller’s specific return and refund policy before making a purchase.

4. Terms Applicable to Sellers

4.1 Onboarding and Eligibility: Shovniq provides a platform for home-based entrepreneurs and small-scale businesses to sell their products across India. ZERO Onboarding Fees: Registration and listing products on Shovniq are currently free of charge. NO GST Required for Onboarding: Sellers are not required to have a GST registration to onboard and start selling on Shovniq. However, Sellers remain solely responsible for complying with all applicable Indian tax laws (including GST, income tax, etc.), licensing requirements, and any other legal obligations related to their business and the sale of their products as and when they become applicable to them. Shovniq is merely a facilitator and does not provide tax or legal advice. You agree to provide accurate business details and valid identification documents as required for KYC purposes during registration.

4.2 Product Listings and Content: You are solely responsible for all Products you list and all Content you upload, publish, or display on the Platform. Your Products and Content must comply with all applicable Indian laws, rules, and regulations (including but not limited to consumer protection, food safety, intellectual property, weights and measures, etc.). You guarantee that you have all necessary rights, licenses, and permissions to sell the Products and to use the Content you provide. Prohibited Items: You agree not to list or sell any illegal, harmful, offensive, counterfeit, or prohibited items as per Indian law and Shovniq’s policies (e.g., weapons, drugs, adult content, items infringing intellectual property rights). Shovniq reserves the right to remove any such listings without notice.

4.3 Order Fulfillment and Customer Service: You are solely responsible for accurately describing, pricing, packaging, and timely shipping/delivery of Products to Customers. You are responsible for providing excellent customer service, including responding to inquiries, managing returns, and resolving disputes promptly and professionally.

4.4 Payouts and Fees: Shovniq will facilitate payments from Customers to Sellers, deducting any applicable commission or service fees as agreed upon separately in your Seller Agreement or as notified through the Seller Dashboard. Payouts will be processed to your registered bank account as per Shovniq’s payout schedule.

4.5 Seller Conduct: You agree to conduct your business on Shovniq ethically and professionally. You will not engage in deceptive, fraudulent, or harmful practices. You will not attempt to divert Shovniq Customers to other platforms or direct sales channels.

5. Intellectual Property Rights

5.1 Shovniq’s Content: All Content on the Platform, except for User-generated Content, is the exclusive property of Shovniq or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any Shovniq Content without our prior written permission.

5.2 User-Generated Content: You retain ownership of any intellectual property rights in the Content you submit, post, or display on or through the Services. However, by submitting Content, you grant Shovniq a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content in connection with the Services and Shovniq’s (and its successors’ and affiliates’) business, including for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

5.3 Infringement: If you believe that your intellectual property rights have been violated by a User or Content on Shovniq, please contact us.

6. Prohibited Conduct and Content

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations.
• Infringing upon the rights of others, including intellectual property rights.
• Posting or transmitting any unlawful, harmful, defamatory, obscene, or otherwise objectionable Content.
• Engaging in fraudulent or deceptive practices.
• Interfering with the operation of the Platform or the enjoyment of the Services by other Users.
• Attempting to gain unauthorized access to any part of the Platform or its related systems.
• Using any automated means (e.g., bots, scrapers) to access the Services without our express written permission.

7. Disclaimers and Limitation of Liability

7.1 As-Is Basis: The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. Shovniq does not warrant that the Services will be uninterrupted, secure, or error-free.

7.2 Marketplace Facilitator: Shovniq is an online marketplace facilitator. We do not own, sell, or deliver the Products listed by Sellers. We are not responsible for the quality, safety, legality, merchantability, or any other aspect of the Products sold by Sellers on the Platform. All transactions are solely between the Customer and the Seller.

7.3 Limitation of Liability: To the maximum extent permitted by applicable Indian law, in no event shall Shovniq, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any Content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or Content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Indemnification

You agree to defend, indemnify, and hold harmless Shovniq, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, your purchase or sale of Products, and any use of the Services’ content, services, and products other than as expressly authorized in these Terms.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us.

10. Governing Law and Dispute Resolution

10.1 Governing Law: These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

10.2 Dispute Resolution: In the event of any dispute or claim arising out of or relating to these Terms or the breach thereof, the parties shall first attempt to resolve the matter amicably through good faith negotiations. If the dispute cannot be resolved amicably, it shall be referred to the exclusive jurisdiction of the courts in Delhi.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 7 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

12. Miscellaneous

12.1 Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12.2 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Shovniq’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.3 Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by Shovniq on the Services, shall constitute the entire agreement between you and Shovniq concerning the Services.
